Job Details
Projects:
As it relates to legal matters at the asset level, corporate level and fund level, the Paralegal will have responsibility for the creation or clean-up projects that will include:
1. Create corporate governance for the acquisitions closings process.
2. Building out a legal entity database.
3. Clean-up/organization as needed of the firm’s legal database / shared drive and assess best way to organize for easy reference.
4. Build and maintain legal organizational charts for upper tier/management entities, funds, co-invests SMA’s and properties.

Responsibilities:
As it relates to legal matter for Corporate, Fund or Asset level, the legal associate will have responsibility for the following ongoing duties:
Qualifications:
As it relates to legal matters at the asset level, corporate level and fund level, the Paralegal will have responsibility for the creation or clean-up projects that will include:

Responsibilities:
As it relates to legal matter for Corporate, Fund or Asset level, the legal associate will have responsibility for the following ongoing duties:
- For each new asset closing, manage the acquisitions closing process/ Funding Checklist to ensure accuracy, completeness. This includes the notary process.
- Manage corporate entities, formations, qualifications, maintenance, and dissolutions.
- Coordinate with all external law firms to draft Operating Agreements, LP Agreements, resolutions/written consents.
- Coordinate execution and distribution of approved documents including, but not limited to: Fund structuring LPA’s and Operating Agreements, Loan Agreements and SPV Operating Agreements.
- Obtain EIN’s, maintain Form W-9’s in accordance with tax filings required by the company and build out structured documentation alongside our tax team for annual filing purposes.
- Interface with many internal groups (e.g., Accounting, Treasury, Investor Relations, Operations and Acquisitions).
- Coordinate with all external law firms to draft Operating Agreements, LP Agreements, resolutions/written consents.
- Maintain legal shared drive with all current documents.
- Act as the company’s point of contact for all insurance needs.
- Perform ad hoc assignments, as needed.
- Review and maintain all company contracts.
Qualifications:
- 5-10 years of in-house paralegal experience, or other relevant experience
- Bachelor's degree required
- Familiarity with corporate entity formation, maintenance, and governance
- Experience within financial services, hedge fund, private equity, or real estate heavily preferred
- Superior grammar, writing and communication skills
- Ability to interact well with all levels of personnel
- Ability to work independently as well as in a team environment
- Ability to manage time and tasks effectively
- Demonstrate the ability to maintain strict confidentiality of the company’s internal affairs
- Excellent organizational skills with the ability to prioritize high-volume work in a fast-paced, dynamic environment
- Experienced with Microsoft Outlook, Word, PowerPoint and Excel
- Notary public a plus
