Job Details:

We are seeking a highly motivated, detail-oriented Corporate Attorney to join our dynamic legal team. The ideal candidate will be a seasoned professional with a strong background in Mergers & Acquisitions (M&A), contract agreements, corporate entity management, and employment agreements. This is a permanent, full-time position, offering a unique opportunity to work on a variety of complex legal matters, providing legal advice and support to our organization.

Responsibilities:

1. Provide legal advice and guidance on a wide range of corporate matters including M&A, corporate entity management, and corporate internal disputes.
2. Draft, review, negotiate, and interpret a variety of contracts and agreements including but not limited to M&A agreements, employment agreements, and other corporate documents.
3. Work closely with the executive team, providing practical and strategic legal advice on potential business transactions.
4. Coordinate with external legal counsel as required, ensuring all legal activities are compliant with the current laws and regulations.
5. Act as the primary legal point of contact for all M&A activities, working closely with the business development team to ensure legal risks are properly identified and mitigated.
6. Develop and implement corporate policies and procedures to promote compliance with applicable laws and regulations.
7. Assist in resolving any legal disputes or litigation, working closely with the litigation team as required.
8. Keep up-to-date with all changes in legislation that may affect the organization and ensure that these are communicated to the relevant departments.

Qualifications:

1. Juris Doctorate degree from an accredited law school.
2. Admitted to practice law in the state of Illinois and has a portable book of at least $150, 000
3. Minimum of 2+ years of experience as a Corporate Attorney, with a strong focus on M&A, corporate entity management, and employment law.
4. Proven experience as a buyer in private M&A transactions.
5. In-depth knowledge of corporate law and legal procedures, with a proven ability to provide legal advice and guidance on a wide range of corporate matters.
6. Excellent negotiation and communication skills, with a proven ability to draft and interpret contracts and other legal documents.
7. Strong analytical and problem-solving skills, with a proven ability to identify and mitigate legal risks.
8. Excellent organizational skills, with a proven ability to manage multiple tasks and projects simultaneously.
9. High level of professionalism and ethical standards.
10. Proficiency in Microsoft Office Suite and legal research tools.
