Job Details:

We are seeking an accomplished and energetic Corporate Associate Attorney to join our dynamic legal team. This is an exciting opportunity for a talented individual to provide comprehensive legal support to our corporate clients. The successful candidate will have a strong background in corporate law, contracts, mergers & acquisitions, business formations, entity, contract negotiations, and contract drafting. Responsibilities:

1. Provide legal advice and support to corporate clients on a broad range of corporate matters including mergers and acquisitions, corporate governance, and business formations.

2. Draft, review, and negotiate a wide range of commercial contracts and agreements to ensure the company's full legal rights.

3. Conduct due diligence in corporate transactions and advise clients accordingly.

4. Assist in the formation, dissolution, and restructuring of business entities.

5. Work closely with senior attorneys to develop legal strategies and solutions for complex corporate issues.

6. Keep abreast of legislative changes that may affect the company and its clients.

7. Develop company policy and position on legal issues.

8. Conduct research, analyze case law, redline contracts and perform other duties as necessary.

9. Represent the company in legal proceedings.

10. Build relationships with clients and work to understand their business to better serve their legal needs.

Qualifications:

1. Juris Doctor (JD) degree from an accredited law school.

2. A minimum of 2+ years of experience in corporate law, with a focus on mergers & acquisitions, business formations, entity, contract negotiations, and contract drafting.

3. Must be admitted to practice law in Ohio

4. Exceptional negotiation skills and the ability to interpret and draft complex legal documents.

5. Strong understanding of corporate governance issues and corporate compliance matters.

6. Excellent analytical, research and writing skills.

7. Ability to work independently and as part of a team, managing multiple priorities in a fast-paced environment.

8. High degree of professional ethics and integrity.

9. Outstanding interpersonal and communication skills.

10. Proficiency in Microsoft Office Suite and legal research platforms.
