A well-established and highly regarded boutique corporate law firm headquartered in Raleigh, NC, is seeking a Corporate Associate Attorney with 1-3 years of M&A experience to join its dynamic team!

You will engage in hands-on drafting, negotiating, and day-to-day client communication on a daily basis. You’ll assist clients who are industry leaders (particularly in the tech and biotech sectors) and are working on interesting and impactful technologies.

Ideal candidates will possess stellar academic credentials from a high caliber university and will have worked at a reputable firm with a similar practice area and focus.

Some areas of experience that are a (huge) plus for this position are:
Working with startups, including entity formation matters;
fundraising and financings transactions including venture financings and convertible note and SAFE rounds;
corporate transactions, including mergers and acquisitions and other change in control transactions;
experience with transactional due diligence (change of control issues, equity diligence, etc.);
day-to-day corporate experience including counseling clients, drafting consents, and reviewing contracts; and
capitalization tables, Carta, and waterfalls/pro formas.

A North Carolina bar license is highly preferred; the ability to become licensed in NC is required.
